The shareholders share is not "represented" on the board of directors. The board of directors just run the club, it can be any person. Shareholders (members) can organise shareholder meetings and force the board to do things but ownership (members) and the running (directors) is separate.Maybe an expert in corporate governance here could explain what Charrington is going to do as a Non-Executive Chairman.

As for a non-executive chairman, that is just someone not on the board who does the same sort things as a chairman.
