"Sky News has learnt that PCP International Finance, a vehicle controlled by Ms Staveley, is expected to issue a statement following discussions with the UK takeover watchdog saying that she does not intend to make a formal offer for Spurs."
 
There's been speculation for years - I've never seen any other such statements made ?
I'm just going to copy and paste this from a thread on reddit about it because it says it better than I can (shout out to the redditor if they see this).
From what I can glean from some googling, we are subject to the takeover code either because we were previously a publicly traded company (there’s a lengthy transitional period after taken private where the company remains subject to the code) OR because we have bonds outstanding i.e stadium debt (bond holders deserve clarity over bids because a takeover may affect creditworthiness).

There’s a put up or shut up rule in this Code to better protect shareholders/bondholders. That means once a potential bidder has been publicly identified they must clarify their position within a certain timeframe.

So it seems to more or less be because actual concrete rumours have made its way to the panel. Who have to make an inquiry on behalf of the shareholds/bondholders.

Won’t there also be “change of ownership” clauses with our suppliers and / or banks?

I know that some of the deals I work on, these are included, particularly one recently with DAZN, as a business I work with weren’t keen on doing anything with them without such a clause going into the contract (unconfirmed as to why, but KSA money surely had something to do with it).

I’d imagine institutions that have loaned us money would need to be informed of any takeover plans, but unsure why these would have to be public declarations.

If Joe Lewis himself might think of selling and reaping a great profit on the asset that is Spurs, does this apply to his children? The dope has always been that a search for minority investor is the next step.

Surely there is a large untapped potential in TH Ltd? There's the whole property profit in the southern section of the NDP, which is to be realised. Then there's the project of turning THFAC Ltd into a proper 'super club' that matches the infrastructure.

If we're talking of increasing the value of the asset, then good management will return great rewards in the medium term.

That's not to mention the intangible value of the resulting prestige of owning a successful football (soccer) club that the Lewis family can enjoy.

Talking of football, we haven't mentioned NFL. The more Spurs maintain this profile the more it may take advantage of the possibility of a London based franchise, a great big cash machine. And prestige squared. This may never happen, but it's an exciting opportunity that could well benefit THFAC.

I'd be surprised if the Lewis's intend to sell soon. It's a fascinating project. There are so many possibilities.

Good time to sell. Stadium is at its peak, no. 1 for non football events, raking in cash, but that will slowly fade over time as rival stadiums are built or upgraded to the latest specs.

She would only be required to make such a statement if something is going on.

- Lewis family have said the club is not for sale, as in they are not selling the ENIC 86% shareholding in THFC
- the Sky Sports article says Staveley will make an announcement tomorrow that they are not taking over the club ie. not trying to acquire the majority shareholding.

Reading between the lines, what they are not saying is that Staveley Consortium could be making an investment of say £300m to acquire a 10% interest in THFC. ENIC shareholding will then be diluted to under 80% but they will still be the majority owner.

£300m seems to be, maybe coincidentally, the amount of our rumoured transfer kitty this summer.

Edit: and maybe Levy was a cockblock to the outside investment because
1. It would dilute his shareholding in THFC held via his 29% interest in ENIC
2. He wanted to stay on as Executive Chairman after the investment but maybe the investors didn’t want that
