You can always negotiate under the release clause, indeed that's what happen 95% of the time.

What can't possibly happen is a buying club paying more than that sum.

Just to give you an example, a number of star players here - Mbappe, Bellingham, Jamal, maybe more - have €1 billion release clauses. If it became known that one of those wanted out, potential buyers would start by offering loads less but Madrid, Barça whoever could try holding out. As everyone knows, nobody will be forking out a billion (what's more in one go), that sum is simply insurance given the astronomical wages these people are on.

It can in reality, as we did with Porro, the caveat being that the fee was spread out over a number of years and so wasn't actually an activation of his release clause.

Would be interesting to know what would happen in a scenario where a player has a "secret" clause for say £60m, and an unaware bidder offers £70m outright, would the selling club have to let them know that they only need to pay £60m or would they just quietly pocket the extra £10m?

Obviously wouldn't be an issue in Spain due to the clauses being public knowledge, but the supposed secret figure in MGW's contract allows for the possibility.

Apparently Forest were trying to get ManC to offer £70m / £80m when Spurs came in with the release clause. ManC hadn’t done their research, which is why Marinakis is so upset by Spurs “low ball offer” which wasn’t a low ball offer, just the release clause.
